These Terms of Use (“Terms”) govern your access to and use of the website operated by Balance-Books Bookkeeping Inc. (“Balance-Books”, “we”, “us”, or “our”) at https://balance-books.ca (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms apply to the Site only. Bookkeeping and related professional services are governed by a separate written proposal, engagement letter, or agreement between you and us (the “Engagement Terms”). If there is a conflict between these Terms and signed Engagement Terms, the Engagement Terms control for the services they cover.
Eligibility and acceptance
You represent that you have capacity to enter into these Terms and, if you use the Site on behalf of an organization, that you are authorized to bind that organization.
Website content and no offer
Content on the Site — including service descriptions, pricing ranges, statistics, case-style examples, and testimonials — is for general information and marketing. It may be simplified, illustrative, or subject to change without notice. Nothing on the Site is an offer to contract, a guarantee of results, or a commitment to provide services on any particular terms. Binding commercial terms (scope, fees, timelines, and deliverables) appear only in written Engagement Terms we issue and you accept.
No professional advice via the Site alone
Information on the Site is general in nature and does not constitute accounting, bookkeeping, tax, legal, financial, or other professional advice for your specific situation. Outcomes depend on your facts, records, software, and a formal engagement. You should not act or refrain from acting based solely on Site content. For advice tailored to you, contact us and enter Engagement Terms where appropriate.
Intellectual property
The Site and its content (including text, graphics, logos, layout, and design) are owned by us or our licensors and are protected by Canadian and international intellectual property laws. You may view and print reasonable portions of the Site for personal, non-commercial evaluation of our services. You may not copy, modify, distribute, reverse engineer, scrape at scale, or create derivative works from the Site without our prior written consent, except as allowed by mandatory law.
Acceptable use
You agree not to:
- Use the Site in any unlawful manner or for any unlawful purpose
- Attempt unauthorized access to our systems, accounts, or data
- Submit malicious code, spam, or deceptive content via forms or other channels
- Interfere with or disrupt the Site, servers, or networks

The Site may reference or link to third-party websites, tools, or platforms (for example accounting software). We do not control those services and are not responsible for their content, availability, or practices. Your use of third-party services is at your own risk and subject to their terms.

Personal information collected through the Site is handled as described in our Privacy policy.
Disclaimer of warranties
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE, ACCURATE, OR CURRENT.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Balance-Books Bookkeeping Inc. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence, where such exclusion is prohibited).
Liability arising from paid professional services is governed exclusively by the applicable Engagement Terms, not by the marketing content on this Site.
Indemnity
You agree to indemnify and hold harmless Balance-Books Bookkeeping Inc. and its personnel from and against reasonable claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Site, your violation of these Terms, or your infringement of any third-party rights, except to the extent caused by our willful misconduct or gross negligence.
Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to mandatory consumer protections that cannot be waived, the courts of Ontario sitting in Toronto will have exclusive jurisdiction over disputes arising from these Terms or the Site, and you attorn to those courts.
Changes
We may update these Terms from time to time by posting a revised version on the Site with an updated “Last updated” date. Continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.
General
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and us regarding the Site and supersede prior website terms on the same subject. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnity) will survive termination of your use of the Site.
